Supplier Terms
and Conditions

General Terms
 

1. Acceptance of Purchase Order

Acceptance of a Mustang Seal Solutions Purchase Order, acknowledgment of the order, commencement of work, or shipment of product constitutes acceptance of all applicable purchase order requirements and these Supplier Terms and Conditions.

2. Delivery and Communication Requirements

Suppliers shall promptly notify Mustang Seal Solutions of any condition that may affect delivery schedules, product conformity, regulatory compliance, or customer requirements. Suppliers shall communicate known risks, delays, shortages, or disruptions as soon as they become aware of them.

3. Packaging, Preservation, and Identification

Suppliers shall package, preserve, identify, and handle products in a manner that prevents damage, deterioration, contamination, or loss of traceability during storage and transportation. Packaging and labeling shall be sufficient to ensure proper identification and protection of product throughout the supply chain.

 

Quality Requirements
 

1. Flow-Down of Requirements

Suppliers shall flow down all applicable purchase order requirements, specifications, drawings, quality requirements, regulatory requirements, statutory requirements, and customer-specific requirements to all sub-tier suppliers involved in fulfilling Mustang Seal Solutions purchase orders.

2. Quality Management System Requirements

Suppliers shall maintain an effective quality management system appropriate to the products and services provided. Mustang Seal Solutions may require certification to ISO 9001, AS9100, or other recognized standards based on product risk, customer requirements, or contractual obligations.

3. Product and Service Conformity

Suppliers shall ensure products and services conform to all applicable purchase order requirements, specifications, drawings, and contractual requirements prior to shipment. Suppliers shall maintain controls necessary to verify conformity before release.

4. Certificate of Conformance Requirements

When required by contract, suppliers shall provide Certificates of Conformance (COC), material certifications, test reports, inspection reports, or other objective evidence necessary to demonstrate product conformity. Documentation shall be complete, accurate, and traceable to the supplied product.

5. Traceability Requirements

Suppliers shall maintain traceability of materials, components, manufacturing records, and certifications as required by contract. Traceability records shall be maintained throughout the supply chain and preserved for the required retention period.

6. Record Retention

Unless otherwise specified by contract, suppliers shall retain quality records associated with Mustang Seal Solutions purchase orders for a minimum of twelve (12) years. Records shall remain legible, retrievable, and protected from loss or deterioration and shall be made available upon request. Electronic records are acceptable provided they remain legible, retrievable, protected from unauthorized alteration, and available upon request.

 

Aerospace and AS9100 Requirements
 

1. Right of Access

Mustang Seal Solutions, its customers, and applicable regulatory authorities have the right to access relevant supplier facilities, records, quality documentation, and applicable sub-tier supplier facilities to verify compliance with contractual, regulatory, and quality management system requirements.

2. Change Notification Requirements

Suppliers shall notify Mustang Seal Solutions and obtain approval prior to implementing changes that may affect product conformity, including but not limited to changes in product design, manufacturing processes, manufacturing location, material sources, special process providers, key equipment, or sub-tier suppliers. Notification shall also include significant organizational changes that may affect the supplier’s ability to meet contractual requirements.

3. Counterfeit Parts Prevention

Suppliers shall prevent the use and delivery of counterfeit or suspect counterfeit parts, materials, components, and associated documentation. Appropriate controls shall be established to ensure authenticity and maintain traceability to the original manufacturer or approved source when applicable.

4. Product Safety

Suppliers shall establish and maintain controls appropriate to the products and services provided to ensure product safety throughout manufacturing, inspection, handling, storage, packaging, and transportation activities.

5. Foreign Object Debris (FOD) Prevention

Suppliers shall implement controls to prevent foreign object debris (FOD), contamination, and foreign material from adversely affecting product quality, reliability, or safety. Products shall be maintained in a clean condition suitable for their intended application.

6. Personnel Awareness

Suppliers shall ensure personnel involved in fulfilling Mustang Seal Solutions purchase orders are aware of:

1. 1. Their contribution to product and service conformity.
   2. Their contribution to product safety.
   3. The importance of ethical behavior.
   4. The consequences of nonconforming products or services.
   5. The importance of human factors in preventing errors and ensuring product conformity.

 

Supplier Performance
 

1. Notification of Nonconforming Product

Suppliers shall immediately notify Mustang Seal Solutions upon discovery that nonconforming product has been delivered or may have been delivered. No known nonconforming product shall be shipped without prior written authorization from Mustang Seal Solutions.

2. Supplier Corrective Action Requests (SCAR)

Suppliers shall cooperate with Mustang Seal Solutions corrective action activities and respond to Supplier Corrective Action Requests (SCARs) within the timeframe specified by Mustang. Responses may include containment actions, root cause analysis, corrective actions, and verification of effectiveness as requested.

 

Ethics and Compliance
 

1. Ethical Behavior and Business Conduct

Suppliers shall conduct business ethically and in compliance with all applicable laws and regulations. Suppliers shall prevent bribery, corruption, conflicts of interest, and other unethical business practices. Suppliers shall protect confidential, proprietary, and customer information and shall act with integrity in all dealings related to Mustang Seal Solutions business.

 

Website Incorporation
 

These Supplier Terms and Conditions are incorporated by reference into all Mustang Seal Solutions purchase orders unless otherwise agreed to in writing. Acceptance of a Mustang Seal Solutions purchase order constitutes acceptance of these requirements.
